buildrecord software agreement

Please read this agreement carefully. By ticking the box and selecting Accept, you agree to be bound by it. If you do not agree, do not use buildrecord.
1. Who this agreement is between
This agreement is between AmberLogic Limited, a company registered in Scotland ("AmberLogic", "we", "us"), and you, the person using buildrecord. Where you use buildrecord on behalf of an organisation, you confirm that you are authorised to accept this agreement for that organisation, and "you" includes that organisation.
2. What buildrecord is
buildrecord is an online service for keeping digital product passports: identifiers for the units an organisation builds, printed labels that carry those identifiers, and the versioned records those identifiers point at. It is provided as a service, accessed through a web browser; no software is installed on your equipment.
3. Licence
- Subject to this agreement, we grant you a non-exclusive, non-transferable, revocable right to access and use buildrecord for your organisation's internal business purposes, for as long as your organisation's access continues.
- Your access is personal to your account. You must keep your sign-in details confidential and must not share your account with anyone else. You are responsible for everything done under your account.
- You must not: copy, modify, adapt or create derivative works of buildrecord; reverse engineer, decompile or otherwise attempt to derive its source code, except where the law allows this and cannot be excluded; sell, rent, lease, sublicense or otherwise make buildrecord available to any third party; use buildrecord to build a competing product; attempt to gain unauthorised access to any part of the service, its data or the systems it runs on; use it in a way that breaks the law or infringes anyone's rights; or use it to store or transmit anything unlawful, defamatory or malicious.
4. Your data
- You keep all rights in the data you and your organisation put into buildrecord: product records, identifiers, documents and anything else you upload ("your data").
- You grant us a licence to store, process, copy and display your data only as needed to provide and support the service, to keep backups, and as required by law.
- You are responsible for the accuracy and lawfulness of your data, for having the rights to put it into buildrecord, and for deciding which fields of a product passport are visible to whom.
- We process personal data in your data as your processor and personal data about you as an account holder (your name, email address and sign-in activity) as a controller, in each case in line with UK data protection law. Where the law requires a separate data processing agreement, it forms part of this agreement.
5. Availability and changes
- We aim to keep buildrecord available and will tell you about planned maintenance where we reasonably can, but **we do not guarantee that buildrecord will be available at any particular time, be uninterrupted, or be free of errors**.
- We may change, suspend or withdraw any part of buildrecord at any time. Where a change materially reduces what the service does, we will give reasonable notice where practicable.
- We may suspend your access without notice if we reasonably believe your account is being used in breach of this agreement or in a way that threatens the security or integrity of the service.
6. Early access and trial use
Some organisations use buildrecord in early access or on a trial. During that period the service may be incomplete, may change without notice, and may be withdrawn. Nothing you record during a trial is guaranteed to be kept if the trial ends without a continuing agreement.
7. Charges
Any charges for buildrecord are agreed separately between AmberLogic and your organisation. This agreement does not itself create any obligation to pay.
8. Intellectual property
buildrecord, including its software, design, documentation, identifier scheme and label formats, belongs to AmberLogic or its licensors and is protected by intellectual property law. Nothing in this agreement transfers any of those rights to you. You may give us feedback and suggestions; we may use them without any obligation to you.
9. No warranty
- buildrecord is provided "as is" and "as available". To the fullest extent permitted by law, we exclude every condition, warranty, representation and term that might otherwise be implied into this agreement, including any implied term of satisfactory quality, fitness for any particular purpose, or that the service will meet your requirements.
- In particular, we do not warrant that buildrecord, its identifiers, labels or records will satisfy any legal, regulatory or industry requirement (including requirements for digital product passports or battery passports) that applies to you or your products. It is for you to decide whether buildrecord is suitable for your purposes and to obtain your own advice on compliance.
- Your data is held on our systems and backed up, but **you are responsible for keeping your own copies of anything you cannot afford to lose**.
10. Limitation of liability
- Nothing in this agreement limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
- Subject to paragraph 10.1, we accept no liability to you, whether in contract, delict
(including negligence), breach of statutory duty or otherwise, for:
- any loss of profit, revenue, business, contracts, anticipated savings or goodwill;
- any loss of, or damage to, data, or the cost of recreating it;
- any product recall, regulatory penalty, or failure to meet a legal or regulatory requirement;
- any indirect, special or consequential loss or damage;
- Subject to paragraphs 10.1 and 10.2, our total liability to you and your organisation arising out of or in connection with buildrecord and this agreement, in any period of twelve months, shall not exceed the greater of the charges paid by your organisation for buildrecord in that period and £100.
- You agree that these limits are reasonable given that buildrecord is provided as an online service and the charges, if any, are set on that basis.
11. Ending this agreement
- You may stop using buildrecord at any time. Your organisation may end its access on the terms agreed with AmberLogic.
- We may end this agreement and your access immediately if you break it, or on reasonable notice if we withdraw the service.
- When this agreement ends, your right to use buildrecord ends. Sections 4, 8, 9, 10, 12 and 13 continue to apply.
12. Changes to this agreement
We may change this agreement. When we do, you will be asked to read and accept the new version the next time you sign in, and it applies from the moment you accept it. If you do not accept the new version you will not be able to continue using buildrecord.
13. General
- This agreement is the whole agreement between you and us about your use of buildrecord and replaces anything said or written before it, except any separate written agreement between AmberLogic and your organisation, which takes precedence where the two conflict.
- If any part of this agreement is found to be unenforceable, the rest continues to apply.
- Not enforcing a term is not a waiver of it.
- You may not transfer this agreement or your rights under it to anyone else.
- Nobody other than you and us has any right to enforce this agreement.
- This agreement, and any dispute or claim arising out of or in connection with it, is governed by the law of Scotland, and the Scottish courts have exclusive jurisdiction.
